C. David Lumsden joins BFV’s corporate and transactional team as a Principal, bringing nearly 30 years of experience as a corporate legal advisor to companies at all growth stages.
David represents privately-held businesses and entrepreneurs, as well as senior executives and organizational leaders at privately-held and publicly-traded businesses. He assists businesses and their owners in all phases of their operations, including start-up, entity selection and structuring; raising capital and funding, including private placements, venture capital and bank loans; negotiating contracts, such as employment agreements, incentive arrangements, buy-sell agreements, distribution agreements and confidentiality, non-solicitation and noncompete agreements; business and asset acquisitions and divestitures, including asset and stock transactions and taxable and tax-deferred mergers and reorganizations; joint ventures; and business succession planning and facilitating exit strategies.
Cher Gregoire joins the firm as Counsel in BFV’s litigation group, bringing her extensive litigation background and experience.
Cher counsels clients in disputes involving restrictive covenants, trade secrets and other competition-related issues, fiduciary duty, business divorce and shareholder/partner breakups, contracts, construction, commercial real estate, commercial leasing, creditors’ rights, commercial secured and unsecured lending, trusts and estates, insurance coverage, and litigation related to alcohol licensing and regulatory matters. She also advises clients on trademark prosecution and other intellectual property matters related to brand protection and enforcement.
