Do Not Miss the Deadline to File Georgia Entity Annual Registrations

Make sure to file your Georgia Entity Annual Registrations by the April 1st deadline. Georgia entities, such as corporations and LLCs, must complete this filing with the Georgia Secretary of State by April 1, 2024.

How Should I File My Georgia Entity Annual Registration?

It is easy to file online. Simply go to the Georgia Secretary of State website and use a credit card to pay the $50 annual registration fee. Alternatively, BFV is available to file on behalf of your entity.

Be cautious of solicitations that appear official but are from service companies seeking to file your registration for a fee. Disregard such solicitations and either file on your own or ask BFV for assistance.

Is it Time to Update Public Information?

When filing your annual registration take the opportunity to update any changed public information, such as:

  • Mailing address;
  • Registered agent and/or registered office, or
  • Officers for corporations

Review the existing details and make any changes as part of your filing.

Should I file Annually or More?

You can file annual registrations for one, two or three years, each with a $50 filing fee per year. There is not a discount for filing for multiple years. While it might seem convenient to file for consecutive years, it is recommended to file annually for two reasons:

  1. To avoid forgetting when to file next; and
  2. To provide an annual opportunity to update information for the same $50 annual fee for that year. This avoids possibly needing to file an interim Amended Annual Registration with an additional $20 filing fee.
Deadlines

The deadline for filing is April 1, 2024, with a $25 late fee if missed.

Filing late will lead to a Notice of Administrative Dissolution with a limited period for a late filing. This will also require an additional late fee. If you also miss the late filing period, your entity will be administratively dissolved automatically. While you would have the ability to  reinstate your entity, you will need to pay more fees to do so. Of course, we hope you can avoid this.

As always, I am here to help. For assistance with your Georgia Entity Annual Registration, please reach out to me no later than March 1, 2024.
